1. The above-named Assignor, for good and valuable consideration the receipt of which is hereby acknowledged, hereby irrevocably and unconditionally transfers, conveys and assigns to the IETF Trust, a Virginia trust (“Assignee”), all right, title and interest in and to the above-named Work in perpetuity, including, without limitation, copyright ownership, subject only to the express retention of rights described in paragraph 4 below. Assignor agrees to sign any further assignments, acknowledgements, instruments and certifications reasonably requested by Assignee to effectuate the above assignment.

2. Assignor hereby represents and warrants to the Assignee that: (a) Assignor has the right, authority and power to make the assignment of rights contained in paragraph 1 above; (b) the Work is the sole and original creation of Assignor and Assignor’s employees who have produced the Work wherein ownership of the Work is granted by any such employee to Assignor; (c) Assignor does not have any obligation to any third party whether by law or by contract, that could in any way prohibit Assignor from assigning, or conflict with the assignment of, the Work to the Assignee as set forth in paragraph 1; (d) no third party consents, assignments or licenses are necessary to convey the rights conveyed under this Assignment, and such conveyance does not conflict with any policy or regulation of Assignor; (e) Assignor has obtained all required consents, releases and permissions necessary to assign all rights in and to the Work to the Assignee as contemplated hereby; (f) the Work contains no material that is libelous, defamatory, plagiarized, or otherwise unlawful; (g) the Work does not, in whole or in part, infringe upon the copyright or right of privacy of, or misappropriate the trade secret, confidential information or personally-identifiable data of, any third party; and (h) no part of the Work was created or developed by an employee or agent of the United States government.

3. Assignee acknowledges that nothing in this Assignment is intended to convey, assign, transfer, license or sublicense any right under any patent or patent application, whether subsisting in the United States or elsewhere.

4. Notwithstanding the assignment of rights contained in paragraph 1 above, Assignor hereby retains a non-exclusive, perpetual, royalty-free right and license to reproduce, distribute, publish and modify the Work and to grant sublicenses of the foregoing rights, internally and externally, without notice to or consent of Assignee.
